Terms of Service

Welcome to Walter CRM, a service provided by PXM Software Solutions LLC (“PXM,” “we,” “us,” or “our”). By accessing or using our CRM application (the “Service”), you agree to these Terms of Service (the “Terms”). Please read them carefully.
1. Acceptance of Terms
By using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. These Terms apply to all users of the Service, including without limitation customers, vendors, and content contributors.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding agreement to use the Service.
3. Accounts & Security
- Credentials: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Notice of Compromise: You must promptly notify us of any suspected unauthorized access or use of your account.
- Liability for Compromise: We are not liable for losses arising from compromised credentials unless caused by our negligence or willful misconduct.
4. License & Permitted Use
- License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms.
- Restrictions: You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of the Service or any included software.
- Integrations: Reasonable customization and integration via our documented APIs and approved methods are permitted, provided they do not circumvent security, degrade performance, or violate these Terms.
- Prohibited Activities: You agree not to (i) use the Service for illegal or unauthorized purposes; (ii) damage, disable, or impair our systems; or (iii) attempt to gain unauthorized access to any part of the Service or another user’s account.
5. Subscriptions, Billing & Refunds
- Plans: The Service is offered on a subscription basis (monthly or annually). You agree to pay all fees associated with your selected plan.
- Billing: Subscription fees are billed in advance on a recurring basis according to your plan.

Refunds (User-Friendly Exceptions):
- Fees are generally non-refundable except as required by law.
- Service Interruption: If a confirmed Service outage exceeds 72 consecutive hours and is attributable to us, you may request a pro-rated credit or refund for the affected period.
- Annual Plans: If you cancel within the first 30 days of an annual prepayment, you may request a pro-rated refund of the unused portion, less any promotional discounts already applied.
- Changes to Fees: We may change subscription fees with at least 30 days’ advance notice. Changes take effect after your current billing cycle ends.
6. Data Ownership, Access & Privacy
- Your Data: You retain ownership of all data you upload to the Service.
- Our Use: We will access and process your data only to provide and improve the Service, comply with law, prevent fraud or abuse, or with your consent. See our Privacy Policy for details.
- Export: You may export your data at any time during your active subscription.
- Post-Cancellation Access: After cancellation (see Section 9), your data will remain available for 60 days for retrieval, after which it will be permanently deleted unless we are legally required to retain it. We will send at least one reminder before deletion.
7. Intellectual Property
- Ownership: PXM retains all rights, title, and interest in and to the Service and related intellectual property.
- No Transfer: Nothing in these Terms transfers any PXM intellectual property rights to you.
8. Service Levels
The Service is provided on a commercially reasonable efforts basis. Optional: Enterprise customers may request a separate Service Level Agreement (SLA) with defined uptime and support response targets.
9. Termination & Suspension
- Termination by You: You may cancel at any time by emailing clientrelations@pxmsoftwaresolutions.com with the subject “Cancel Subscription” and your account details (account name and associated email). We process requests within 2 business days. Access continues through the end of your current billing period. Refund handling follows Section 5.
- Termination or Suspension by Us: We may suspend or terminate your access for material breach, unlawful use, or activity that risks security or harms the Service. Except in urgent cases (e.g., fraud, active security threat), we will provide 7 days’ notice and an opportunity to cure.
- Effect of Termination: Your right to use the Service ends upon termination. Data handling follows Section 6.
10. Disclaimers
- As-Is / As-Available: The Service is provided “as is” and “as available.” We do not warrant uninterrupted or error-free operation.
- Third-Party Services: We are not responsible for the performance or availability of third-party services or integrations outside our control.
11. Limitation of Liability
To the fullest extent permitted by law, in no event will PXM be liable for any indirect, incidental, special, consequential, or punitive damages; or for loss of profits, revenues, data, goodwill, or other intangible losses. In all cases, PXM’s aggregate liability arising out of or relating to the Service will not exceed the greater of (a) US$500 or (b) the total amount paid by you for the Service in the 12 months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless PXM, its affiliates, and their officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your (a) use of the Service; (b) violation of these Terms; or (c) infringement of any third-party rights.
13. Governing Law & Dispute Resolution
- Governing Law: These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles.
- Arbitration: All claims or disputes arising out of or relating to these Terms or the Service will be resolved by binding arbitration conducted in Florida, USA, or via a remote/online arbitration forum. The parties may mutually agree to another venue.
- Equitable Relief: Either party may seek temporary or provisional relief in court to protect its rights pending arbitration (e.g., injunctive relief for IP or data security).
14. Changes to These Terms
We may modify these Terms from time to time. Material changes (including pricing, dispute resolution, or liability terms) will be communicated by email or in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
